1. Introduction & Acceptance

These Terms of Service (“Terms”) govern your access to and use of the SendyPlatform (“Platform”, “Service”, or “we/us/our”), operated by Weservecodes Pvt Ltd(“Company”), a registered business entity based in India.

By creating an account, accessing the API, or using any feature of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Data Deletion Policy. If you do not agree, you must not use the Service.

2. Description of Service

Sendy Platform is a Business-to-Business (B2B) cloud messaging infrastructure service that enables registered business clients to send programmatic messages through the following channels:

  • WhatsApp Business Platform: Via the official Meta WhatsApp Cloud API, subject to Meta’s WhatsApp Business Policy and Commerce Policy.
  • Telegram Bot API: Via the official Telegram Bot API, subject to Telegram’s Terms of Service.

The Platform provides API endpoints, message templates, delivery tracking, webhook integrations, auto-responder bots, and analytics dashboards to facilitate business communication workflows.

3. Eligibility & Account Registration

To use the Platform, you must:

  • Be at least 18 years old and have the legal capacity to enter into binding agreements.
  • Register a valid business entity or be an authorized representative of one.
  • Provide accurate and complete registration information including business name, email, and contact details.
  • Complete Meta Business Verification (for WhatsApp Business API access) through your Meta Business Manager account.
  • Maintain the confidentiality of your account credentials and API keys at all times.

You are solely responsible for all activities that occur under your account. You must notify us immediately at sales@weservecodes.com if you suspect unauthorized access to your account.

4. Acceptable Use Policy

You agree to use the Platform solely for lawful business communication purposes and in full compliance with all applicable local, national, and international laws and regulations, including but not limited to:

  • The Information Technology Act, 2000 (India) and its amendments.
  • The Digital Personal Data Protection Act, 2023 (DPDP Act, India).
  • The General Data Protection Regulation (GDPR), where applicable to EU data subjects.
  • The Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act (USA), where applicable.
  • Meta WhatsApp Business Messaging Policy and WhatsApp Commerce Policy.
  • Telegram Terms of Service for Bot API usage.

5. Prohibited Activities

You are strictly prohibited from using the Platform to:

  • Send unsolicited bulk messages (spam) or promotional messages without prior explicit opt-in consent from recipients.
  • Transmit phishing attempts, scam URLs, fraudulent schemes, or deceptive identity spoofing content.
  • Distribute malware, viruses, ransomware, or any code designed to disrupt software or hardware operations.
  • Send harassing, threatening, defamatory, obscene, or hate-speech content.
  • Violate intellectual property rights of any third party, including unauthorized use of copyrighted materials, trademarks, or trade secrets.
  • Impersonate any person, business, or entity, or falsely claim affiliation with any organization.
  • Circumvent rate limits, authentication mechanisms, or security controls of the Platform.
  • Use the Platform to facilitate illegal activities including drug trafficking, money laundering, terrorism financing, or child exploitation.
  • Sell, resell, or sublicense access to the Platform or its API without prior written authorization from the Company.
Enforcement

Violations of this policy will result in immediate suspension or termination of your account and API access without prior notice. We reserve the right to report illegal activities to the appropriate law enforcement authorities.

7. WhatsApp Business Platform Compliance

Our Platform operates as a registered Business Solution Provider (BSP) using Meta’s official WhatsApp Cloud API. All clients using WhatsApp messaging features must additionally comply with:

WhatsApp message templates must be submitted for approval through the Meta Business Manager and must comply with Meta’s template guidelines. We do not guarantee template approval as this is solely at Meta’s discretion.

8. API Key Security & Rate Limiting

You are solely responsible for safeguarding the cryptographic API keys (prefixed with sk_live_) generated through your dashboard. Any API requests authenticated with your key are deemed to have been executed by you or on your behalf.

  • API requests are rate-limited to 100 requests per 15 minutes per API key or IP address.
  • Exceeding the rate limit triggers an HTTP 429 Too Many Requests response.
  • Compromised keys must be immediately regenerated through your dashboard and reported to our support team.

9. Billing, Wallet & Payment Terms

The Platform operates on a prepaid wallet-based billing model and/or subscription plans:

  • Wallet Credits: Messages sent via the API deduct credits in real-time based on the applicable per-message rate for each channel.
  • Insufficient Balance: If your wallet balance falls below the per-message rate, API send requests are rejected with an HTTP 402 Payment Required response.
  • Subscription Plans: Optional monthly subscription plans may be offered with included message volumes and additional features.
  • Refund Policy: All wallet top-ups and subscription payments are final and non-refundable unless required by applicable law.
  • Rate Changes: We reserve the right to modify per-message rates with 30 days’ prior written notice to registered email addresses.

10. Intellectual Property

All content, code, documentation, APIs, trademarks, logos, and design elements of the Platform are the exclusive intellectual property of Weservecodes Pvt Ltd and are protected under applicable copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for your internal business purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works based on any part of the Platform without express written consent.

You retain ownership of the content you transmit through the Platform. By using the Service, you grant us a limited license to process, transmit, and temporarily store your content solely for the purpose of delivering messages on your behalf.

11. Service Availability & Limitations

While we strive for high availability, the Platform is provided on an “as-is” and “as-available” basis. We do not guarantee:

  • 100% uptime or uninterrupted service availability.
  • Specific message delivery times, as these depend on upstream providers (Meta, Telegram).
  • Message delivery success, as this depends on recipient device status, network conditions, and third-party platform policies.

We utilize Redis-backed BullMQ queues for reliable message processing, but delivery timelines and success rates are ultimately governed by Meta and Telegram infrastructure.

12. Limitation of Liability

Legal Limitation

To the maximum extent permitted by applicable law, Weservecodes Pvt Ltd and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, business interruption, or loss of profits arising from your use of or inability to use the Platform.

Our total aggregate liability for any claim arising from or relating to these Terms or the Service shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Weservecodes Pvt Ltd, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use or misuse of the Platform.
  • Your violation of these Terms or any applicable law.
  • Your violation of any third-party rights, including intellectual property or privacy rights.
  • Content you transmit through the Platform.
  • Your failure to obtain proper opt-in consent from message recipients.

14. Termination

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

  • Violation of these Terms or any referenced policy.
  • Receipt of complaints, reports, or quality degradation flags from Meta or Telegram.
  • Engagement in fraudulent, illegal, or harmful activities.
  • Non-payment or billing disputes.

Upon termination, your right to use the Platform ceases immediately. You may request deletion of your data in accordance with our Data Deletion Policy.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.

Before initiating formal legal proceedings, you agree to attempt to resolve any dispute through good-faith negotiation by contacting us at sales@weservecodes.com.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email notification to your registered email address and/or through a prominent notice on the Platform at least 15 days before the changes take effect.

Your continued use of the Platform after the effective date of modified Terms constitutes your acceptance of the updated Terms.
